Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Margint website, dashboard, APIs, and software development kits (collectively, the "Service") provided by Margint ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. Definitions
"Customer" means the individual or legal entity that has created an account and accepted these Terms. "Customer Data" means data submitted by Customer to the Service, including cost events sent via the SDK, customer identifiers, metadata, and configuration. "SDK" means our open-source client libraries published on npm and PyPI.
2. Eligibility and account registration
You must be at least 16 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for maintaining the confidentiality of your credentials, including GitHub OAuth credentials and API keys, and for all activity that occurs under your account. You agree to notify us promptly at hi@margint.dev if you suspect unauthorized use.
3. The Service
The Service provides per-customer AI cost tracking, margin analysis, and budget enforcement features. The exact features available depend on the plan you select. We may modify, suspend, or discontinue any part of the Service at our discretion, and we will give reasonable advance notice of material changes that adversely affect paid Customers.
4. Acceptable use
You agree not to:
- Use the Service in violation of any law or third-party rights, including intellectual property and privacy rights.
- Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by these Terms.
- Attempt to gain unauthorized access to the Service, other accounts, or the underlying infrastructure.
- Interfere with the integrity or performance of the Service, including by sending excessive volumes of requests, attempting to bypass rate limits, or transmitting malware.
- Submit content that violates third-party rights, contains personal data you do not have a lawful basis to share, or includes prompts, completions, or message payloads (the SDK is designed to send only metadata; manually submitting prompt content is not permitted).
- Reverse engineer, decompile, or attempt to derive the source code of any non-open-source components of the Service.
5. Customer Data
As between you and us, you retain all rights, title, and interest in and to Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to provide and improve the Service, calculate costs and margins, and produce aggregated and anonymized analytics. You are responsible for the accuracy and lawfulness of Customer Data.
6. SDK license
Our SDKs are licensed under the MIT License, the terms of which are included in each package and govern your use of those libraries. The MIT license applies only to the SDK source code; it does not grant any rights to the hosted Service.
7. Fees and billing
Paid plans are billed in advance through our payment processor, Polar. Fees are stated on our pricing page and are exclusive of taxes, which you are responsible for paying. You authorize us (via Polar) to charge your payment method on a recurring basis for the plan you select.
Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods, except where required by law.
We may change pricing for paid plans with at least 30 days' advance notice; new pricing applies to your next renewal.
8. Free plan
We offer a free plan with usage limits documented on our pricing page. Free plans are provided "as is" without any commitment to availability or support response time. We may modify the limits or discontinue the free plan at any time.
9. Term and termination
These Terms remain in effect while you have an account. You may terminate your account at any time from your dashboard. We may suspend or terminate your account, immediately and without refund, if you materially breach these Terms, if your use of the Service threatens its security or stability, or if we are required to do so by law.
On termination, your right to access the Service ceases immediately. We will retain Customer Data for the period described in our Privacy Policy before deletion.
10. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COST CALCULATIONS WILL BE FREE OF INACCURACIES. THE SERVICE IS NOT A SUBSTITUTE FOR YOUR OWN BILLING, ACCOUNTING, OR FINANCIAL SYSTEMS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Margint and its officers, employees, and agents from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of (a) your use of the Service in violation of these Terms, (b) Customer Data, or (c) your violation of any law or third-party right.
13. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and will use such information only as necessary to perform under these Terms.
14. Changes to these Terms
We may revise these Terms from time to time. Material changes will be notified by email or via a notice in the Service at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. The exclusive venue for any dispute arising out of or relating to these Terms, where permitted by mandatory law, is the competent courts of Berlin, Germany. Nothing in this section limits any consumer-protection rights you may have under mandatory local law.
16. Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced in the Service, constitute the entire agreement between you and us and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
